Terms of Service

Please read these Terms carefully. By accessing or using the Services, or by clicking to accept these Terms, you agree to be bound by these Terms of Service and the documents incorporated by reference. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not access or use the Services.

1. Introduction and definitions

These Terms of Service ("Terms") are a legally binding agreement between Trusted Only, LLC ("Trusted Only," "we," "our," or "us") and you, governing access to and use of our platform, websites, applications, and related services (collectively, the "Services"). These Terms incorporate by reference our Privacy Policy and our Acceptable Use Policy ("AUP").

• "Customer" means an organization, such as a real estate association or brokerage, that subscribes to the Services under a separate customer agreement or order form.
• "Authorized User" means an individual, such as a real estate agent, who accesses the Services under a Customer's account or through a directory powered by the Services.
• "Visitor" means any person who accesses a public-facing portion of the Services without an account.
• "Content" means any data, text, images, reviews, listings, or other materials made available through the Services.

Where a Customer has entered into a separate written agreement with Trusted Only (a "Customer Agreement"), that agreement governs in the event of any conflict with these Terms as to that Customer's subscription.

2. Eligibility and accounts

You must be at least 18 years old to use the Services. By using the Services, you represent that you meet this requirement and that all registration information you provide is accurate and kept current. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms or the AUP.

3. The Services

Trusted Only provides a platform that powers vendor and agent directories and related tools for real estate associations, brokerages, and their agents, including features that allow Authorized Users to manage and display professional profile information and connected third-party content. The specific features available to you depend on your subscription or the configuration set by your Customer. We may modify, add, or discontinue features from time to time; where a change materially reduces functionality for a paying Customer, we will provide notice consistent with the applicable Customer Agreement.

4. Customer accounts and multi-tenant use

The Services are offered on a multi-tenant basis. Customers configure directories that may be displayed under their own branding or domains. As between Trusted Only and a Customer, the Customer is responsible for: (a) the accuracy of data it or its Authorized Users provide; (b) obtaining any necessary rights and consents for that data; and (c) the conduct of its Authorized Users. Where Trusted Only processes personal data on behalf of a Customer, Trusted Only acts as a service provider / processor and the Customer acts as the controller, as further described in the Privacy Policy and any applicable data processing agreement.

5. Connected Google accounts and Google Business Profile

This section reflects Google's Business Profile API policies and the additional guidelines for authorized representatives. It works together with the corresponding section of the Privacy Policy.

5.1 Authorization to act on your behalf. Certain features allow an Authorized User (a "Connected User") to link their Google account so Trusted Only can access and manage that user's Google Business Profile on their behalf. By connecting your Google account and granting the requested permissions, you authorize Trusted Only to act as your representative for the specific Google Business Profile operations you enable, and you represent that you own or are authorized to manage the connected profile.

5.2 Scope of authorized actions. Depending on the features you enable, Trusted Only may, at your direction: read reviews, ratings, and profile information; import and display that information on your directory profile; create, edit, schedule, and remove local posts; update profile information; and reply to reviews. Because Google requires separate authorization for certain activities, you must provide specific, separate authorization before Trusted Only will reply to reviews or post or respond to Q&A on your behalf. Connecting your account alone does not authorize these activities.

5.3 Your responsibilities for connected content. You are responsible for all content you direct Trusted Only to publish to your Google Business Profile. All such content must comply with Google's prohibited and restricted content policies and applicable law. You will not direct us to publish false, misleading, deceptive, or fraudulent content, or to create or solicit fake reviews. Trusted Only does not create or fabricate reviews and will not take actions you have not authorized.

5.4 Notice of changes to your account. Consistent with Google's authorized-representative guidelines, Trusted Only will provide you notice of changes it makes to your connected Google account, such as adding a manager, within 48 hours after the change is made, separate from any automatic notifications Google may send.

5.5 No Google partnership. Use of the Google Business Profile APIs does not create, suggest, or imply any partnership with, sponsorship by, or endorsement by Google.

5.6 Display and attribution. Where the Services display Google content, Google attribution and brand features will be preserved as provided and will not be deleted or altered, and reviews will not be edited or presented in a misleading manner.

5.7 Limited use. Trusted Only's access, use, and transfer of data received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Google user data is used only to provide and improve the user-facing features described above, and is not used for advertising or unrelated analysis.

5.8 Revocation. You may disconnect your Google account at any time within the Services or revoke access through your Google Account settings. Revocation stops future access and actions but does not affect actions properly taken before revocation.

6. Acceptable use

Your use of the Services is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations of the AUP are violations of these Terms and may result in suspension or termination.

7. User content and license

You retain ownership of Content you submit to the Services. You grant Trusted Only a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your Content solely as necessary to operate and provide the Services, including displaying it within directories and, where you direct, publishing it to connected third-party services such as Google Business Profile. You represent that you have the rights necessary to grant this license and that your Content does not infringe the rights of any third party or violate any law.

8. Intellectual property

The Services, including all software, design, text, graphics, and trademarks (excluding your Content and third-party content), are owned by Trusted Only or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you. You may not copy, modify, reverse engineer, or create derivative works of the Services except as permitted by law.

9. Fees and payment

Paid features are billed according to the subscription or order form agreed with your Customer or with Trusted Only. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and subject to change with notice. Failure to pay may result in suspension of paid features.

10. Third-party services

The Services may integrate with or link to third-party services (such as Google Business Profile, MLS data feeds, and CRM platforms). Your use of those services is governed by their own terms and privacy policies. Trusted Only is not responsible for third-party services, and their availability may change.

11. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Trusted Only does not warrant that the Services will be uninterrupted, error-free, or secure, or that Content will be accurate or reliable.

12. Limitation of liability

To the maximum extent permitted by law, Trusted Only will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to the Services. Trusted Only's total liability for any claim will not exceed the amounts paid by you or your Customer to Trusted Only for the Services in the twelve (12) months preceding the claim.

13. Indemnification

You will indemnify and hold harmless Trusted Only and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Content, your use of the Services, your violation of these Terms or the AUP, or your violation of any law or third-party right.

14. Term and termination

These Terms apply while you access or use the Services. You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or the AUP, if required by law, or if necessary to protect the Services or other users. Upon termination, the licenses granted to you end; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

15. Dispute resolution; arbitration and class waiver

Except where prohibited by law, you and Trusted Only agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration, and not in a class, collective, or representative action. The arbitration will be administered under the rules of a recognized arbitration provider, seated in Lee County, Florida, and governed by the Federal Arbitration Act. Either party may bring an individual claim in small-claims court where eligible. To the extent any dispute is not subject to arbitration, it will be brought exclusively in the state or federal courts located in Lee County, Florida, and you consent to the jurisdiction of those courts.

16. Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, except where superseded by applicable federal law.

17. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where required, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
